Refund & Cancellation Policy

Introduction

This policy sets out how cancellations and refunds work when you buy a product or service from CompanyFormation365.com. It is written to be clear and easy to find, and it forms part of our General Terms and Conditions and our Specific Terms and Conditions. Where this policy and our General Terms and Conditions conflict, our Specific Terms and Conditions take priority. Read our full terms and conditions here.

Nothing in this policy affects your statutory rights as a consumer under UK law.

Definitions

  • a. "Consumer" has the meaning given in section 12 of the Unfair Contract Terms Act 1977.
  • b. "General Terms and Conditions" means our standard terms and conditions of business.
  • c. "Specific Terms and Conditions" means the terms written for a particular product or service you buy from CompanyFormation365 through the Website. These take priority over the General Terms and Conditions where the two conflict.
  • d. "Site" or "Website" means companyformation365.com, including all of its pages.
  • e. "CompanyFormation365", "we", "us", "our" or "ourselves" means Company Formation365 Limited.
  • f. "Cancellation administration fee" means the fee described in section 3 below.

Cancellations and refunds

1. Your right to cancel

  • a. As a consumer, you may cancel a contract for the supply of goods and services at any time within 14 calendar days, starting the day after the contract is made. All cancellation requests must be sent to us in writing.
  • b. If you asked us to begin work during the 14-day period and we have already started, you may still cancel, but you will be charged for what has already been supplied, together with the cancellation administration fee set out in section 3.
  • c. Once a company formation application has been submitted to Companies House, the service is complete and the right to cancel that application is lost.
  • d. To cancel, email us at info@companyformation365.com with your order number and the name of the service you wish to cancel.

2. How refunds are paid

  • a. Approved refunds are returned to the original payment method.
  • b. We aim to process approved refunds within 14 calendar days of accepting your cancellation. The time it takes for the money to reach your account depends on your card issuer or bank.

3. Cancellation administration fee

  • a. Where you cancel an order after payment has been taken, a cancellation administration fee of £25.00 plus VAT (£30.00 including VAT at the current rate) applies. This fee is deducted from any refund due to you.
  • b. The fee covers our management and processing costs, including order handling, account and case set-up, identity and compliance checks, staff time, and non-recoverable payment processing charges.
  • c. The fee is charged once per cancelled order, not per item within that order.
  • d. Where the value of the cancelled order is less than the cancellation administration fee, the refund will be nil and no further charge will be made to you.
  • e. The fee does not apply where the cancellation is our fault. If we cancel an order, fail to deliver a service we have charged for, or a pricing error on the Website means the transaction is voided, you will receive a full refund with no deduction.
  • f. Where a service is charged at a rate that already includes a stated administration charge, only one administration charge applies.

4. Refunds – company formation orders

  • a. If you buy a company formation package and change your mind before we submit your company details to Companies House, we will refund the amount you paid, less the cancellation administration fee in section 3, provided your written cancellation request reaches us within 14 calendar days of the purchase date.
  • b. No refund is available for a company formation package, or any part of it, once the application has been submitted to Companies House. This applies even if the application is rejected by Companies House.
  • c. Companies House fees paid on your behalf are non-refundable once submitted.

5. Refunds – address services

  • a. This section applies to registered office, service address, and business address or mail forwarding services.
  • b. If we have not yet processed your order or set up your address service, you will be refunded the amount you paid, less the cancellation administration fee in section 3, provided written notice to cancel reaches us within 14 calendar days of the purchase date.
  • c. If we have already processed your order and set up your address service, you will be refunded the amount you paid, less the cancellation administration fee in section 3 and less a set-up charge of £10.00 plus VAT per address service, provided written notice to cancel reaches us within 14 calendar days of the purchase date. The set-up charge covers order processing, service set-up, and related costs.
  • d. No refund is available for cancellation requests made more than 14 calendar days after the purchase date.
  • e. If our address is recorded at Companies House as your company's address for more than 14 calendar days after the purchase date, the service is treated as used and no refund is due, even if the cancellation request itself is made within 14 days.
  • f. Either you or we may cancel an ongoing address service by giving one full calendar month's notice in writing.

6. Refunds – additional products and services

  • a. If you buy an additional product or service and change your mind before we have started work on it, you will be refunded the amount you paid, less the cancellation administration fee in section 3, provided written notice to cancel reaches us within 14 calendar days of the purchase date.
  • b. No refund is available once we have started work on the product or service, or where the cancellation request is made more than 14 calendar days after the purchase date.

7. Pricing

  • a. We may update prices on the Website and change, amend, or withdraw the products and services we offer without prior notice.
  • b. We take care to make sure all prices shown are correct. In the event of an obvious pricing error, we may void the transaction and refund you in full, with no deduction.

8. Recurring payments

  • a. For renewable services, the renewal fee is taken on the expiry date using the card originally used to buy the service, or an alternative card you have supplied.
  • b. We will always notify you before the expiry date of our intention to take payment, and you may cancel the service before it renews.
  • c. Renewal fees already taken are not refundable once the renewal period has started.

9. Limitation of liability

  • a. If your company formation application is rejected by Companies House, you will not be entitled to a refund for services purchased from CompanyFormation365.
  • b. We accept no liability if your company is struck off or removed from the Register for any reason outside our control, or if, following the cancellation or expiry of the services you hold with us, your company fails to meet its statutory requirements after we have filed the necessary forms to notify the end of those services.

10. Address services – our right to cancel

  • a. We may cancel an address service with immediate effect where we believe there is a genuine risk to our reputation or our business, including suspected fraudulent or unlawful use of the address.
  • b. Where we cancel under this section, we may withhold a refund in whole or in part.

11. Force majeure

  • a. If an event outside our reasonable control prevents us from delivering a service, we will tell you as soon as we are able. If the event continues for more than 14 calendar days, either party may cancel the agreement. Where a service has been paid for in advance but not delivered, you will receive a full refund from the date of cancellation for each such service, with no deduction.
